1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TJK LLC ("Company," "we," "us," or "our"), operating the Sponsorfi platform located at sponsorfi.ioand any associated subdomains, mobile applications, or services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using Sponsorfi, you represent and warrant that you meet these requirements.

3. Account Registration

To access certain features you must create an account. You agree to:

  • Provide accurate, current, and complete information.
  • Keep your login credentials confidential.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that remain inactive for an extended period.

4. Description of Service

Sponsorfi is a sponsorship outreach platform that helps racers discover local businesses, generate email leads, and manage outreach campaigns from a single dashboard. Features include lead generation tools, email templates, campaign tracking, and sponsor management.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation, including anti-spam laws such as CAN-SPAM and GDPR.
  • Send unsolicited bulk email or communications that violate applicable law.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the Service, servers, or networks.
  • Attempt to gain unauthorized access to any part of the Service.
  • Scrape, harvest, or collect data from the Service except through authorized means.
  • Upload or transmit viruses, malware, or other harmful code.

6. Subscriptions & Billing

Certain features of the Service are offered on a subscription basis. By subscribing, you agree to the pricing and payment terms presented at the time of purchase.

  • Subscriptions renew automatically unless cancelled before the end of the current billing period.
  • You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle.
  • We reserve the right to change pricing with at least 30 days advance notice.
  • All fees are non-refundable except where required by applicable law.

7. Intellectual Property

The Service and all content, features, and functionality (including but not limited to text, graphics, logos, and software) are the exclusive property of TJK LLC and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you submit through the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display that content solely for the purpose of providing the Service.

8. User Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Services

The Service may integrate with or contain links to third-party websites, applications, or services. We are not responsible for the availability, content, or practices of any third party. Your use of third-party services is at your own risk and subject to their respective terms and policies.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TJK LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless TJK LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms, without prior notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

14. Governing Law & Disputes

These Terms are governed by the laws of the State in which TJK LLC is organized, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, unless you opt out within 30 days of first agreeing to these Terms by emailing hello@sponsorfi.io.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date above. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
